UAE Corporate Tax: A Complete Guide to Advance Pricing Agreements (APAs)

Last updated: November 2026

Transfer pricing is one of the most judgement-heavy areas of UAE Corporate Tax, and one of the most likely to be questioned in an audit. For businesses with significant related-party transactions, an Advance Pricing Agreement (APA) with the Federal Tax Authority offers certainty: the pricing method is agreed in advance, so it cannot be challenged later as long as you follow the agreement.

What is an Advance Pricing Agreement?

An APA is a written agreement between a taxpayer and the FTA that sets how the arm’s length price of specific related-party (“controlled”) transactions will be determined for a fixed number of future tax periods. The legal basis is Article 59 of the Corporate Tax Law (Federal Decree-Law No. 47 of 2022). The FTA published its detailed APA Guide in December 2025.

Types of APA

  • Unilateral APA: between the taxpayer and the FTA only. This is the type the FTA is accepting first, starting with domestic controlled transactions.
  • Bilateral or multilateral APA: agreed between the FTA and one or more foreign tax authorities, giving certainty in both countries and removing the risk of double taxation. These are expected in later phases.

Key features of the UAE APA programme

Term Minimum of 3 and maximum of 5 tax periods
Application fee AED 30,000 (non-refundable, covers revisions and amendments)
Renewal fee AED 15,000
Eligibility Aimed at significant transactions; the FTA uses AED 100 million of covered transactions as an indicator but keeps discretion

When does an APA make sense?

  • Large, recurring intra-group transactions such as management fees, distribution, financing or service charges
  • Complex arrangements where comparables are hard to find and the method is open to debate
  • Transactions that have been, or are likely to be, questioned by the FTA
  • Groups that want predictable effective tax rates and fewer audit disputes

For smaller or routine transactions, robust transfer pricing documentation is usually the more cost-effective approach.

The APA process, step by step

  1. Preparation: identify the controlled transactions to cover, analyse functions, assets and risks, and choose the transfer pricing method and comparables.
  2. Application: submit the application with supporting analysis and the AED 30,000 fee.
  3. Review and negotiation: the FTA reviews the proposal, asks for further information and may suggest changes to the method or critical assumptions.
  4. Agreement: once agreed, the APA sets the method, the covered transactions, the term and the critical assumptions.
  5. Annual compliance: each year you show that the agreed terms were applied and that the critical assumptions still hold.
  6. Renewal: before expiry you can apply to renew, at a reduced fee.

Critical assumptions: the fine print that matters

Every APA rests on critical assumptions about the business, such as its structure, the functions each entity performs, or market conditions. If those change materially, for example through a restructuring, a new business line or a major change in the market, the APA may need to be revised or may stop applying. Monitor these assumptions as closely as the pricing itself.

APA vs documentation: which is right for you?

Every business with related-party transactions must apply arm’s length pricing. Larger businesses must also prepare master and local files and file a transfer pricing disclosure form. An APA goes further by securing agreement in advance. Many groups use both: documentation for routine transactions and an APA for the one or two arrangements that carry the most risk.

Frequently asked questions
